商业综合责任保险(索赔基础)条款

·为维护您的合法权利与知悉您应尽的义务,同时能准确了解本保险合同的承保范围,请您仔细研读本保单条款。
·本保单条款所提及的“列名被保险人”是指本保险合同载明的被保险人或依本保险合同的约定视同被保险人的其它任何人或团体。
·“本公司”是指提供本保险合同的保险公司。
·“被保险人”是指符合本保单条款第二章「被保险人」定义的任何人或团体。
·本保险条款中以双引号“ ”特别标示的其它文字及语句皆有其特殊意义,具体请参照第六章「定义」的解释。

第一章 – 承保范围
承保范围 A – 人身伤害及财产损失责任

1.承保事项
a.本保险合同承保被保险人依法应负损害赔偿责任的“人身伤害”或“财产损失”,本公司依本保单的约定负赔偿责任。本公司有权利及义务协助被保险人就该请求损害赔偿诉讼进行抗辩,但是,本公司对于不属于本保单承保范围之内的“人身伤害”或“财产损失”所提出的损害赔偿请求,并无抗辩的义务。本公司有权自行对任何“意外事故的发生”进行调查并对其产生的索赔或诉讼进行处理。但:
(1)本公司所赔付的损害赔偿金总额仍以本保险合同第三章保险限额的约定为限;且
(2)本公司所赔付的损害赔偿金总额已达本保险合同之理赔金额上限时,本公司抗辩的权利及义务即告终了。
本公司除前述约定外,另无责任或义务支付他项金额、费用或提供其他服务,但有本章后列有关「额外给付」的另有约定者,不在此限。
b.本保险合同承保的“人身伤害”或“财产损失”,必须符合下列条件:
(1)造成“人身伤害”或“财产损失”的“意外事故”须发生于“承保地区”;且
(2)造成“人身伤害”或“财产损失”的“意外事故”须发生在追溯日之后、保险期间届满前;且
(3)因“人身伤害”或“财产损失”而提出的索赔,必须在保险期间内、或本公司依第五章提供的延长赔案通知期间内,依以下段落c的规定首次向被保险人提出。
c.由个人或组织团体提出的第一次索赔,以下列较早的为准:
(1)由任一被保险人或本公司收到且书面纪录索赔通知较早者为准;
(2)以本公司依上述第1点承保事项中的段落a为和解行为为准。
同一人因同一意外事故受有人身伤害所主张的各种损害赔偿请求,于第一次向被保险人提出请求赔偿时,视为全部均已提出赔偿之请求。
同一人因同一意外事故受有财产损失所主张之各种损害赔偿请求,于第一次向被保险人提出请求赔偿时,视为全部均已提出赔偿之请求。
 

2.除外责任
本保险合同对下列各项不负赔偿责任:
a.故意行为所致的损失
因被保险人的故意所为或在其预料之中所造成的“人身损害”或“财产损失”。本除外条款不适用于为保护人身和财产安全而采取正当防卫或紧急避险行为所导致的“人身损害”。
 

b.契约责任
纯粹由被保险人因合同或协议所承担的人身伤害或财产损失的损害赔偿责任。但本除外条款不适用于:
(1)即使无该项合同或协议存在亦应由被保险人负赔偿责任者;
(2)符合“承保合同”定义的合同或协议所承担的责任,并以“人身伤害”或“财产损失”系因履行该合同或协议所产生。若属于“承保合同”责任,并因而产生合理的律师费用或诉讼费用(对被保险人以外的人)视为“人身伤害”或“财产损失”所引起的损失,但是:
(a)对第三人的责任或是对第三人的抗辩费用以该“承保合同”约定为限;
(b)与第三人有关的抗辩上之律师费用或诉讼费用需与本保险合同所约定的保险责任有关。
 

c.酒精类饮料所致的损失
因下列原因而致被保险人应负赔偿责任的人身伤害或财产损失:
(1)导致或促使任何人酒醉;
(2)向未成年或已受酒精影响的人提供酒精类饮料;或
(3)违反任何有关酒精类饮料的销售、赠与、批发、或使用的法规或命令。
本除外条款仅于被保险人经营酒精类饮料的制造、批发、销售或供应之业务时适用。
 

d.劳工补偿法及其它相关法令之规定
依据劳工补偿法,失业补偿法或残废给付法或其它相关法令之规定,被保险人应负的赔偿责任。
 

e.雇主责任
(1)被保险人的受雇人因执行职务所遭受的人身伤害或因此所产生被保险人对他人应负的损害赔偿责任;
(2)“受雇人”的配偶、子女、父母或兄弟姊妹,因上述(1)的情形所致的人身伤害或其它损害。
本除外条款适用于:
(1)由受雇人或其它任何人所提出的赔偿请求或诉讼所主张之上述人身伤害;以及
(2)任何人因上述人身伤害而必须负赔偿责任的分担或补偿的责任。
本除外条款不适用于被保险人依据“承保合同”所承担的责任。
 

f.污染
(1)本保险合同不适用于因实际、声称或可能会发生的排放、散布、渗漏、搬移、释出或逸出污染源所导致的任何体伤或财损;
(2)本保险合同不适用于因为下列情况而产生的损失、支出或费用:
(a)被保险人或其它人被要求、命令、请求或依据法律规定,测试、监控、清理、移除、抑制、处置、解毒或中和、或以任何方法反应或评估污染源的影响;或
(b)任何政府组织或其它人(或该些组织或人的代理人)请求赔偿或以法律程序要求赔偿因测试、监控、清理、移除、抑制、处理、解毒或中和或以任何方法反应或评估污染源的影响所产生的损害。
 

g.航空器、汽车或船舶
任何因被保险人自有、操作、或租用的任何航空器、汽车或船舶的拥有、维修、使用、或托付于他人的行为而造成的人身伤害或财产损失。“使用”包括操作和装卸。
本除外事项包括任何被保险人因监督、聘用、雇用、训练或督导他人时的疏忽或其它错误行为所致的赔偿责任,如果该意外事故发生所致的“人身伤害”或“财产损失”涉及任何所有、维修、使用或托付于他人的航空器、汽车或船舶系属于被保险人所有、操作、租用或借与。
本除外事项不包括:
(1)停舶在被保险人所有或租用处所的船舶;
(2)不属于被保险人所有的船舶:
(a)长度小于26英尺,而且
(b)非以收费为目的而从事客运或货运的船舶;
(3)停放于被保险人所有或租用处所的车辆,但以该车辆并非被保险人所有、租用或借用为限;
(4)因列于“机动设备”定义项中f(2)或f(3)的设备所致的“人身伤害”或“财产损失”。
 

h.机动设备
因下列原因所致的人身伤害或财产损失:
(1)因由被保险人拥有、操作、或租用的汽车运送机动设备时造成的人身伤害或财产损失;
(2)在竞赛或任何特技表演中、练习中或事前准备时使用机动设备而造成的人身伤害或财产损失。
 

i.战争
因战争(不论宣战与否)、内战、暴乱、判乱、革命或其它与前述原因有关的行为或状况。战争包括内战、暴动、叛乱、或革命。本除外条款仅适用于以合同或协议所承担的责任。
 

j.财产损失
下列财物的损失:
(1)列名被保险人所拥有、租用或占用的财物;
(2)因列名被保险人变卖、赠送、弃置的上述财物的任何一部分所造成之财产损失;
(3)借与列名被保险人的财物;
(4)被保险人监督,保管或管理下的动产;
(5)被保险人或直接、间接代理被保险人执行职务的任何承包商或次承包商所有的财产特定部份于其执行职务时所致的“财产损失”;
(6)因被保险人工作错误而需复原、修理或重置任何财产特定的某一部份。
本j条财产损失中的第(1)、(3)、(4)条不适用于租给被保险人处所的“财产损失”(火灾损失除外),包括租给被保险人,租期为7天或连续但小于7天的处所的财物。本保险合同第三章之保险限额中有关财产损失的责任限额适用于被保险处所的财产损失。
本j条财产损失中的第(2)条不适用于被保险人所建造的经营场所或处所,且该处所从未为被保险人所拥有或租用。
本j条财产损失中的第(3)、(4)、(5)及(6)条不适用于因铁路支线条款所承揽的责任。
本j条财产损失中的第(6)条不适用于包含在完工责任危险中的财产损失。
 

k.被保险产品的损失
因被保险产品本身或其任何一部份的原因所引致的财产损失。
 

l.被保险人工作的损失
因被保险人的有关工作所导致引发于该工作中的财产损害,且该损害属于完工责任危险者。
但此除外条款不适用于由次承揽人为列名被保险人所完成的受有损害的工作,或致生损害的工作。
 

m.对于“异常财物”及未遭受实质性损害的财物所引发的损害:
因下列原因致使“异常财物”或未遭受实质性损害的财物引发的“财产损失”本公司不负责赔偿:
(1)“被保险产品”本身的瑕疵、缺陷、不适当性或具有危险性;
(2)列名被保险人或其代理人因迟延或未能依照合同或协议的约定履行。
“被保险产品”虽依其用途使用,但因产品本身受到突发、意外地实质损害以致造成其它财物不能使用的损失时,不适用本除外条款。
 

n.产品、工作或受损财产的召回
由于被保险人或其它人对下列(1)(2)(3)因丧失使用、撤回、召回、检查、修理、重置、调整、移除或处理所产生的任何损失、成本或费用:
(1)被保险产品;
(2)被保险人的工作;或
(3)异常财物。
如果上述产品、工作或财产因已知或未知的不足或缺陷,或其本身条件的缺乏,不适当性或具有危害性而从市场上、任何使用之个人或组织处被撤回或召回。
 

o.人格及广告损害
起因于人格及广告损害的人身伤害。
除外事项c.至n.不适用于因被保险人租用的场所、或被保险人得到所有人允许而暂时使用的场所发生火灾时所造成的损失。属于承保范围的人格及广告损害责任的赔偿限额以在本保险合同第三章之保险限额中的规定为准。
 

承保范围 B – 人格及广告侵害责任

1.承保事项
a.本保险合同承保被保险人依法应负损害赔偿责任的“人格及广告损害”,本公司依约负赔偿之责。本公司有权利及义务就该请求损害赔偿金的诉讼有进行抗辩。但是,本公司对不属于本保险合同承保范围内的“人格及广告损害”所提出的损害赔偿请求,并无抗辩的义务。本公司有权自行对任何侵害事件进行调查并对其产生的索赔或诉讼进行和解。但:
(1)本公司所赔付的损害赔偿金总额仍以本保险合同第三章「保险金额」的规定为限;且
(2)本公司所赔付的损害赔偿金总额已达本保险合同的理赔金额上限时,本公司抗辩的权利及义务终止。
本公司除上述约定外,另无责任或义务支付他项金额、费用或提供他项服务。但有本章后列有关「额外给付」另有约定者,不在此限。
 

b.本保险单承保由于被保险人的营业行为所带的攻击行为引致的“人格及广告损害”,但必须符合下列规定:
(1)攻击行为需发生于承保地区;
(2)攻击行为须发生在追溯日之后、本保险单保险期间结束之前;
(3)因“人格及广告损害”而提出的索赔,必须在保险期间内、或本公司依第五章提供的延长报告期间内,依以下段落c的规定第一次向被保险人提出。
 

c.由个人或组织团体提出的第一次索赔,以下列较早者为准:
(1)由任一被保险人或本公司收到且书面纪录索赔通知最早者为准;
(2)以本公司依上述第1点承保事项中的段落a为和解行为为准。
同一人因同一意外事故受有人格及广告损害所得主张之各种损害赔偿请求,于第一次对被保险人提出请求赔偿时,视为全部均已提出赔偿之请求。
 

2.除外责任
本保险合同对下列各项不负赔偿责任:
a.故意侵犯他人权益
因被保险人明知其行为将侵犯他人权益但仍作出或指使他人作出的行为导致人格及广告损害之行为而引发的“人格及广告损害”。
 

b.蓄意散播不实资料
因被保险人明知内容不实但仍以口头或书面的形式散播的资料,所引致的“人格及广告损害”。
 

c.发生于保险期间生效前
因被保险人于保险期间(含追溯期)已经以口头或书面散播的事宜,所引致的“人格及广告损害”。
 

d.犯罪行为
因被保险人所犯或发生由其引导的犯罪行为,所引致的“人格及广告损害”。
 

e.合同责任
因被保险人于合同中或协议中承揽的责任,所引致的“人格及广告损害”。本除外条款不适用于即使无该项合同或协议存在亦应由被保险人负赔偿责任者。
 

f.违反合同
因被保险人违反合同,所引致的“人格及广告损害”。
 

g.产品质量性能不符合产品陈述
因被保险人的货物、产品的质量性能或提供的服务不符合广告宣传中所作的陈述说明,所引致的“人格及广告损害”。
 

h.价格标示说明错误
因被保险人的货物、产品或服务的价格于广告中标示错误,所引致的“人格及广告损害”。
 

i.违反著作权、专利权、商标权、商业机密
因被保险人违反著作权、专利权、商标权、商业机密,所引致的“人格及广告损害”。
但本除外条款不适用于在被保险人的广告中违反著作权、专利权、商标权、商业机密的行为。
 

j.被保险人经营媒体及网络事业
下列行业的被保险人所致的“人格及广告损害”:
(1)广告、广播、出版或电视传播业;
(2)为他人设计或决定网站内容;
(3)网络搜寻、路径、内容、服务的提供者。
但本除外责任不适用于段落1中的a. b. c.的人格及广告损害责任。
为被保险人或其它人于互联网设置的架构、边界或连结、或广告视为商业广告、广播、出版或电视传播业。
 

k.于网络聊天室或电子公告栏散布消息
因被保险人有掌控权的网络聊天室或电子公告栏散布消息,所引致的“人格及广告损害”。
 

l.未经授权擅用他人名义或产品
因被保险人未经授权擅用他人名义或产品误导客户,所引致的“人格及广告损害”。
 

m.污染
因任何型态的污染所引致的“人格及广告损害”。
 

n.污染相关
因任何与污染相关的事宜,所引致的“人格及广告损害”:
(1)要求或命令任何被保险人或其它人对污染物之测试、监视、清理、移除、封锁、处理、除毒或中和,或对污染物任何型态的反应或评估其后果;
(2)因对污染物之测试、监视、清理、移除、封锁、处理、除毒或中和,或对污染物任何型态的反应或评估其后果而致损害并因而遭受政府监理机构之诉讼。
 

额外给付条款 – 承保范围包含A和B

 


1.本公司对于受理的赔偿请求或赔案诉讼所为之抗辩,负责支付下列费用:
a.因本公司引起的全部费用,包括但不限于律师费用及公证费用;
b.至多美金250元的保释金;
c.保证金,但仅以保险额度内的金额为限;
d.被保险人因本公司的请求协助调查或抗辩所产生的合理费用,包含因此而无法工作所造成的实际损失,但最高以每日250美元为限;
e.被保险人因诉讼所产生的所有税金;
f.保险人应负责任,而针对被保险人的预断裁决利益判决。如果保险人提议赔偿保险限额,于该提议后的约定期间,保险人将不支付预断裁决利益的金额;
g.进入判决后,保险人已支付、提议支付或提存于法院,而在保险限额内所发生的任何判决全部金额的利息。
这些赔付会减少保险合同所载保险限额。
 

2.在本公司为被保险人进行抗辩时,倘受赔偿请求人亦为被诉讼的一方,当符合下列条件时,本公司对受赔偿请求人亦负抗辩之责:
a.为被保险人依承保合同内的合同或协议所承担的责任;
b.本保险合同适用被保险人所承担的责任;
c.被保险人对于同一承保合同已承受的抗辩义务或抗辩费用;
d.本公司确知意外事故赔偿请求诉讼主张中之被保险人与受赔偿请求者间无利益冲突;
e.受赔偿请求者与被保险人要求本公司进行与控管对受赔偿请求者的抗辩,并同意本公司指派同一法律顾问为两者进行抗辩;且
f.受赔偿请求人
(1)书面同意:
(a)对诉讼之调查处理及抗辩与保险公司合作;
(b)立即将收到的赔偿请求书、法院通知、传票或诉状等复印件送交本公司;
(c)通知其它也可能受赔偿请求的保险公司;
(d)协助本公司与其它也可能受赔偿请求的保险公司配合。
(2)提供以下书面授权:
(a)取得与诉讼相关的纪录与信息;
(b)在诉讼中处理及控管受赔偿请求者的抗辩;
凡符合上述条件的,因抗辩所发生的律师费用、必要开支及受赔偿请求者应本公司的请求所产生的诉讼费用都按此约定赔付,但亦会减少保险合同所载保险限额。
依照额外给付条款的规定在下列情形发生时,本公司对被保险人所负律师费用、诉讼费用给付的赔偿责任即行终止:
a. 本公司已赔付的损害赔偿金总额已达本保险合同之理赔金额上限;
b. 不再符合前述段落f的条件。
 

第二章 - 被保险人


1.本保险合同所载的列名被保险人,系就下列之定义分别为之:
a.倘列名被保险人为个人时,该列名被保险人及其配偶均为本保险合同所称之被保险人,但须以执行被保险人之独资事业相关业务行为者为限;
b.倘列名被保险人为合资企业时,则该列名被保险人或其合伙人、合资企业投资人及其配偶均为本保险合同所称之被保险人,但须以执行与合伙或合资企业有关业务行为者为限;
c.倘列名被保险人为有限公司时,则该列名被保险人或其合伙人均为本保险合同所称之被保险人,但须以执行被保险人事业有关业务行为者为限。其经理人亦属被保险人,但须以执行其业务者为限;
d.倘列名被保险人为合伙、合资企业或有限公司以外之组织时,则该列名被保险人及其“执行主管”、董事及股东均为本保险合同所称之被保险人,但“执行主管”、董事仅就其执行有关之责任者为限。而股东仅就其执行股东责任者为限;
e.倘列名被保险人为信托公司时,该列名被保险人及其信托人均为本保险合同所称之被保险人,但须以执行其业务者为限。
 

2.凡符合下列各项条件者,亦为本保险合同所称之被保险人:
a.前项所述被保险人之“受雇人”亦属本保险合同所称之被保险人,但须以执行雇佣范围内之行为或执行与被保险人有关之业务行为者为限。惟下列所述〝受雇人〞之行为非属承保范围中:
(1)“人身伤害”或“人格或广告损害”部分:
(a)前项所述的被保险人于执行业务行为时所受的“人身伤害”或“人格或广告损害”;
(b)于上述本项(1)(a)情形,致前项所述的被保险人的配偶、子女、父母、或兄弟姐妹受有“人身伤害”或“人格或广告损害”;
(c)由于上述(1)(a)或(b)的损害,而有责任共同分摊或偿还负有赔偿义务之人的行为;
(d)因提供或疏于提供专业健康医疗照顾服务,致“人身伤害”或“人格或广告损害”。
(2)“财产损失”部份:
(a)对所拥有、占用或使用的财物所造成的“财产损失”;
(b)对被保险人或其“受雇人”、合伙人或合资人(如为合伙或合资企业时)所租用、监督、保管、管理或无论任何目的而实质上支配之财物所造成之“财产损失”。
b.为被保险人担任不动产管理人的个人或团体(列名被保险人之受雇人除外);
c.被保险人死亡时的遗产管理人。但:
(1)以其维持或使用该财物所致之责任为限;且
(2)于法定之遗产管理人被指定前;
d.列名被保险人死亡时的遗产管理人。但仅限于执行管理遗产的责任义务为限,遗产管理人享有被保险人就本保险合同的所有权利义务。
 

3.依照道路交通管理法规的规定,驾驶以被保险人之名义注册登记之动力设备且经被保险人同意使用其它人员或组织亦属被保险人,但仅限于驾驶该设备之行为所产生的责任且无法适用其它保险理赔为前提。仅下列所述非属承保范围:
a.共同受雇人于操作动力设备时所造成的人身伤害;
b.于本条款中的被保险人或其雇佣人所拥有、租赁或占有的财产所造成的财产损失。
 

4.列名被保险人对新取得或新成立的组织(非合伙、合资企业或有限公司)拥有其所有权或主要权时,若该组织并无类似本保险合同的保障存在,则该组织视同为本保险合同之列名被保险人。但:
a.本保险合同自被保险人取得或成立该组织之日起,仅提供90天或至保险单到期日止的保障,并以两者日期先到达者为限;且
b.对取得或成立该组织前所发生之“人身伤害”或“财产损失”不负赔偿责任;
c.对取得或成立该组织前所为之攻击而造成之“人格及名誉损害”不负赔偿责任。
任何人或组织于现在或过去执行合伙或合资企业之业务,而该合伙、合资企业或有限公司非本保险合同所载之被保险人时,执行该业务之人或组织不得视为本保险合同所称之被保险人。
 

第三章 - 保险限额


1.本公司赔偿之给付应依照本保险合同所载的保险限额,及下列各条的约定为准,本公司赔偿给付的最高责任限额且不因下列各项之多寡而有差别:
a.被保险人之人数;
b.赔偿请求或诉讼案件之数目;
c.提出赔偿请求或诉讼之人数。
2.本保险合同所指的累积赔偿限额,是指本公司对于承保范围A、B以及额外给付所负的最高赔偿金额。
3.在满足上述第2条的前提下,产品责任的累积赔偿限额,基于承保范围A中以因产品责任所导致的人身伤害及财产损失所负的最高赔偿金额为限。
4.在满足上述第2条的前提下,完工责任的累积赔偿限额,基于承保范围A中以因完工责任所导致的人身伤害及财产损失所负的最高赔偿金额为限。
5.在满足上述第2条的前提下,人格及广告损害的累积赔偿限额,是指在承保范围B中因人格及广告损害所需负的全部赔偿金额。
6.基于上述的3、4和5,产品责任累计赔偿限额,完工责任累计赔偿限额和人格及广告损害累计赔偿限额为本保险合同累积赔偿限额的一部份。
7.无论本公司对上述3、4或5的任意一条负有保险责任,本保险合同所指的每一次事故赔偿限额,是指在每一次事故中对于承保范围A、B及额外给付所承担的最高赔偿金额。
8.依照上述第7条,场所租赁损失的赔偿限额是指在承保范围A下,因任何由被保险人租赁场所或被保险人得到所有人允许而暂时使用的场所产生的财产损失或因火灾所产生的财产损失所引致的最高赔偿限额。
本保险赔偿限额自保险期间开始,分别适用于任一连续保险年度及任一少于12个月的剩余保险期间。


第四章 - 一般事项


1.破产、无清偿能力:
被保险人或其遗产宣告或被宣告破产、无清偿能力时,并不解除本公司就本保险合同所应负的责任与义务。
 

2.“事故发生时”、侵害他人行为时、赔偿请求时、或诉讼时之通知义务:
a.列名被保险人对于可能发生赔偿请求之“意外事故”或侵害,应尽可能立即通知本公司且确认本公司收讫无误并提供下列数据:
(1)“意外事故”或侵害发生之原因、时间、及地点;
(2)受害人及目击证人之姓名、住址;及
(3)“意外事故”所致伤害或损失之情形及其地点。
b.被保险人受赔偿请求或诉讼时必须:
(1)详实记录赔偿请求之内容及其接获日期;并
(2)尽可能立即通知本公司。
列名被保险人同时应即检送赔偿请求的书面数据,并确认本公司已收讫备案。
c.被保险人及其它涉案之被保险人应:
(1)将所收到任何有关赔偿请求或“诉讼”之诉状、通知、传票或法律文件之复印件送交本公司;
(2)授权本公司取得各项纪录及相关信息;
(3)就该赔偿请求或“诉讼”案件配合本公司为相关之调查、和解或抗辩;及
(4)对于本公司应负责赔偿之“人身伤害”或“财产损失”发生时,若另有应负损害赔偿责任之第三人存在,被保险人应本公司之要求时,应协助本公司向该第三人行使各项权利。
d.除必须的急救费用外,非经本公司同意,被保险人不得擅自承诺任何赔款、承担任何责任或负担任何费用。但被保险人为自己支出的费用及自愿负担者不在此限。
 

3.对抗本公司之法律行动
在本保险合同承保范围下,任何个人或组织均无权利:
a.为向被保险人取得损害赔偿金,而将本公司列为共同被告,或致本公司进入诉讼程序;
b.以本保险合同之承保范围为依据,对本公司提起诉讼。但该个人或组织已符合本保险合同所载之各条款者,不在此限。
求偿人同意和解或经判决确定后,有权诉请本公司给付赔偿金额。但本公司对于依本保险合同条款不应赔付之赔偿金或超过保单赔偿限额之赔偿金,仍不负赔偿责任。本保险合同所称之同意和解,系指经本公司、被保险人及求偿人或其法定代理人共同签署并同意就本赔案之处理方式及免除责任之合意。
 

4.保险竞合
如被保险人就本保险合同承保范围A或B的承保范围内所承保的损失另有其它有效并可取得赔偿的保险合同时,本公司对于该项赔偿责任将依下列规定办理:
a.基层保险
本保险合同除适用下列有关(b)款之规定外,为基层保险,即本公司的赔偿责任不受其它竞合保险的影响,但其它保险亦属基层保险性质时,本公司应与其它保险分担赔偿责任,分担之计算方式依下列第(c)款之规定办理。
b.溢额保险
有以下情形时,本保险合同为溢额保险,仅就上述其它保险的保险金额超过部份负赔偿责任:
(1)不论其它保险合同为基层保险、溢额保险、或其保险的生效系于一定条件之成就、或其它情形之保险,若:
(a)针对被保险人工程之火灾、扩大保险范围、建筑物风险、安装风险或其它类似保险范围;
(b)针对租赁给被保险人或经所有人同意由被保险人使用之营业场所的火灾保险;
(c)被保险人就其营业场所的财物所另外购买保险以承保可能发生的损害赔偿责任;
(d)非属第一章中的承保范围A-人身伤害及财产损失责任险除外不保g之范围,且系因维修或使用航空器、汽车或船舶所发生的损失。
(2)任何其它基层保险因营业场所或执行职务所产生的损失责任,而此责任以附加承保于批单中。
当本保险合同之性质为溢额保险时,本公司就其它保险人应负抗辩义务之请求或诉讼,不负担承保范围A或B其诉讼上的抗辩义务。若无其它保险人负责抗辩时,本公司当承担此项工作,但本公司则应享有与被保险人相同的权利,有权对不履行抗辩义务的其它保险人要求赔偿。
当本保险合同为溢额保险时,本公司仅于损失金额超过下列二项金额合计的部份,依应负担的比例负赔偿责任:
(1)若本保险合同不存在时,其它所有保险合同应给付的赔偿总额;及
(2)若其它保险合同规定被保险人负担自负额或自留额时,该自负额或自留额的总额。
若其它保险合同的性质非本款前述所称的保险,并且非以本保险合同的保险金额超过部份负担赔偿责任时,本公司当与该其它保险人共同分担超过上项总额的损失。
c.赔偿责任的分担方式
如依其它保险合同的规定,可以平均分摊方式分担赔偿损失时,本公司亦当依此方式办理。按此平均分摊方式,各保险人仅就损失金额负担等额赔偿金,直至保险赔偿限额内的保险金额用尽或损失已分摊完毕时止。
若任一其它保险的保险人不同意依上项方式办理时,本公司当以保险合同约定的保险金额与其它保险人分摊之。则各保险人的分担之部份,当按各保险合同的保险金额与全部保险合同的保险金额总额之比例计算之。
 

5.保险费之调整
a.本公司当依本保险合同的约定及费率计算保险费;
b.本保险合同上所标示的预付保险费,在保险期间终止时,即计为满期保险费。在保险期间终止时,或保险合同中途终止时,应计算承保期间的满期保险费,在通知记名被保险人以后,即成为到期应付的保险费。如果满期保险费的金额低于已交付的保险费,而且调整后的保险费不低于保险合同首页上记载的最低保险费,本公司应将其差额退还记名被保险人;
c.第一列名被保险人必须保存本公司结算保险费所需之相关数据、纪录,并于本公司提出请求时提供该项数据纪录之复印件。
 

6.说明与告知
列名被保险人接受本保险合同时,即表示同意下述各项:
a.本保险合同所载事项皆正确且完整;
b.本保险合同所载事项皆根据列名被保险人所说明与告知的事实;且
c.本公司系根据列名被保险人所说明与告知的事实签发本保险合同。
 

7.被保险人超过一人时保险合同的适用
本保险合同除了保险赔偿限额及对第一列名被保险人所特别约定的权利义务外,其就:
a.列名被保险人不只一人时,本保险合同就各被保险人之适用与单一被保险人时之适用相同;且
b.任一被保险人于受有赔偿请求或诉讼时,本保险合同则视每一被保险人为独立个体,单独适用。
(本公司对于全体被保险人的赔偿责任仍受本保险合同赔偿限额的限制,本保险合同对于第一列名被保险人特别约定的权利及义务亦不受本条前二款约定影响。)
 

8.代位求偿权
被保险人因本公司应负保险责任的损失发生而对于第三人有损失赔偿请求权者,本公司有权于给付赔偿金额后,就赔偿金额的范围内对该第三人行使求偿权。被保险人不得向该第三人放弃求偿权。本公司并有权请求被保险人转让该损失赔偿请求权于本公司,或委请被保险人单方对该第三人提出诉讼。被保险人应同意并协助本公司行使前项权利的必要或合理行为。
 

9.自动续保
若本公司对于本保险合同拟不继续承保时,应于到期终止日前30天以书面通知本保险合同所载之第一列名被保险人。
若书面通知已寄出,则寄信证明即可作为通知之证明。
 

10.提供损失记录
本公司可在第一列明被保险人提出书面请求的情况下向第一列名被保险人提供有关承保产品责任之保险损失记录。该记录数据以本保险单及其前三年度由本公司签发并以赔偿请求为基础的保险单的记录为限。内容如下:
a.依据第四章第2条段落a的规定,已通知本公司的“意外事故”清单或记录,内容包括“意外事故”日期及“意外事故”概要,但以本公司所知的数据为限且不含先前通知其它保险人的“意外事故”;
b.损失摘要表:在累积赔偿限额下,依保单年度对已决赔款、准备金进行分别记录。
未决赔款是根据本公司理赔部门分析后提列的赔款准备金,该金额将依实际情况调整,故不得视为最终赔款金额。
未经本公司同意,列名被保险人不得披露上述数据给求偿人或求偿人的代表人,本公司将保留追究法律责任的权利。
如果本公司终止本保险合同或决定不再接受续保,本公司将于保险合同终止日前30天内提供上述数据;或本公司于保险单终止后60天内经第一列名被保险人的书面要求,于收到此书面要求后45天内提供损失记录。
本公司收集、整理赔偿请求及“意外事故”数据是基于本公司业务的需要,并尽相当之注意义务。本公司提供予第一列名被保险人的数据,对被保险人、其它保险人或其它关系人不负任何保证或陈述的责任。本公司终止合同或不续保的效力不因本公司不慎提供不正确的纪录而受影响。


第五章 - 延长赔案通知期间


1.本公司于下列情形时将提供一次或一次以上的延长通知期间:
a.本保险合同被终止或满期后不再续保;或
b.本公司签发的续保保险单或新保险单:
(1)其追溯日较本保险合同之追溯日晚,或
(2)其对“人身伤害”、“财产损失”或“人格及广告损害”非以赔偿请求为基础者。
 

2.延长赔案通知期间并不改变本保险合同之保险期间及承保范围,其仅于:
a.对“人身伤害”或“财产损失”在延长通知期间内提出赔偿请求并通知本公司者,视为在保险期间内提出通知。但造成人身伤害或财产损失之事故原因须发生于追溯日后及保险期间终止前;
b.对“人格及广告损害”在延长通知期间内提出赔偿请求并通知本公司者,视为在保险期间内提出通知。但造成身人格及广告损害之攻击行为须发生于追溯日后及保险期间终止前。
本保险合同生效后,延长赔案通知期间不得终止。
 

3.基本延长赔案通知期间系免费提供(自动提供不另收取保险费),该期间自本保险期间终止日起依下列情形办理:
a.依本保险单第四章第2条段落a的规定并最迟于保险期间终止后本保险合同所载天数内向本公司提出“意外事故”损害报告者,就该“意外事故”所致“人身伤害”或“财产损失”的赔偿请求享有五年延长赔案通知期;
b.依本保险单第四章第2条段落a的规定并最迟于保险期间终止后本保险合同所载天数内向本公司提出"攻击行为"报告者,就该“攻击行为”所致“人格及广告损害”的赔偿请求享有五年延长赔案通知期;
c.对于未曾向本公司提出"意外事故"报告者,延长赔案通知期为本保险合同所载天数。
基本延长赔案通知期间不适用对于已由后续保险单承担赔偿责任之赔案,但后续保险单之保险金额耗尽时,则不在此限。
 

4.本保险单不因基本延长赔案通知期间之约定而自动恢复或增加保险金额。
 

5.本保险单亦提供无限期延长赔案通知期间之选择,但须加贴批单并另缴保险费。该加费延长赔案通知期间自上述第3条规定之基本延长赔案通知期间终止日起算。
该项加费延期申请须于本保险单终止日起,在本保险合同所载天数内以书面通知本公司,并于交付约定之加保保险费后始生效力。
加保保险费之计算依照本公司费率规定办理,费率计算应考虑下列因素:
a.所承保危险之暴露情况;
b.本保险单原约定之保险性质及保险金额;
c.就本保险单承保范围内未来可给付的保险金额;
d.其它相关因素。
该加保保险费以不超过本保险单一年保险费的200%为限。
加费延长赔案通知期间批单之条款文字与本章节一致,且载明于本加费延长期间接获之赔案,若有其它保单生效日期较本批单生效日期为晚时,须待其先行理赔后,本批单始负赔偿责任。
 

6.本公司就该加费延长赔案期对如下限额设置附加累积赔偿限额,但该限额仅适用于在该期间内所接获的首个申请并记录在案的索赔请求。
加费延长赔案通知期间的累积赔偿限额等同于本保险单保险期间终止时保险单对应的如下赔偿限额所剩余的累积赔偿限额:
a.本保险合同的最高赔偿限额
b.产品责任的最高赔偿限额
c.完工责任的最高赔偿限额
第三章保险限额中段落2、3和4所载明的保险金额将根据上述内容对应修正;第三章保险限额中段落5、6、7和8所载明的人格及广告损害累计赔偿限额、每一次事故赔偿限额,以及场所租赁损害赔偿限额则延续不变。
 

第六章 – 定义


1.本保险合同所称“广告”,系指被保险人以吸引顾客或支持者为目的,而提供一般大众或特定市场之商品或劳务之广播或印刷品。包括:
a.印好之通知单,包括网络上之通知单或与其类似之电子传播媒介品;而且
b.网址系指被保险人以吸引顾客或支持者为目的,而提供一般大众或特定市场商品或劳务之网址。
 

2.本保险合同所称“汽车”,系指在公路及市区道路上,不依轨道或电力架设,而以原动机行驶之车辆;但不包括机动设备在内。
 

3.本保险合同所称“人身伤害”,系指保险期间内任何人所受之体伤或疾病,包括因此于任何时间所致之死亡。
 

4.本保险合同所称之"承保地区"系指:
a.载于本保险合同之区域;
b.国际水域或空域,但以人身伤害或财产损失发生于来往于上述a.地区与国际水域或空域间的旅途或运送过程中者为限;或
c.上述以外的其它世界地区,如果人身伤害或财产损失系由下列所产生:
(1)被保险人在4.a.的地区所制造或销售的商品;
(2)第三人因代理被保险人的业务而短暂离开住家的活动,但该第三人住家需位于a的地区;或
(3)因网络上的通知单或与其类似之电子传播媒介品而产生的“人格及广告损害”,但被保险人的赔偿责任需经法院判决,而且发生于a之地区或经保险人同意之赔偿金额。
 

5.本保险合同所称的受雇员工包括“租用员工”,不包括“临时性雇用的员工”。
 

6.本保险合同所称“执行主管”系指依据被保险人的组织章程、宪法,施行细则或其它类似相关之规定而被授与权力的人。
 

7.本保险合同所称“异常财物”系指非“被保险产品”的有形财物,由于下列原因致其无法使用或使其可使用性降低:
a.与被视为有瑕疵、缺陷、不适当或具有危险性的“被保险产品”结合所致,或
b.被保险人无法满足合同或协议的条件。
且上述“异常财物”可藉由下列方式重新恢复使用:
a.“被保险产品”经由修复、重置、调整或清除后,或
b.被保险人履行上述合同或协议之条件。
 

8.“承保合同”系指:
a.不动产租赁合同;但出租给被保险人的不动产或得到所有权人的允许而暂时为被保险人使用的不动产,当该不动产遭逢火灾而需对任何人或组织负赔偿之责时,该部份的租赁合同不属于“承保合同”。
b.铁路支线条款;
c.与车辆或行人铁路通道有关的通行或特许合约
d.因法令规定需对政府的补偿,但因承包政府工程而产生的责任除外;
e.电梯维修合约。
 

9.本保险合同所称“租用员工”系指经由与人力中介公司之议,租用可于被保险人经营业务范围内职行职务的人员。但“临时性雇用的员工”并不包括在内。
 

10.本保险合同所称“装卸”,系指处理下列财产:
a.处理从原来启运之航空器,船舶或“车辆”卸下之财产;
b.处理置存于或非置存于航空器,船舶或“车辆”之财产;或
c.处理航空器,船舶或“车辆”运送至目的地之财产。
但“装卸”不包括使用没有附着于航空器,船舶或“车辆”之机械之装卸。但不含手推车。
 

11.本保险合同所称“机动设备”,系指下列附着或没有附着机械或设备的陆上搬运工具:
a.推土机,农事机械,堆高机或其它非行使于公共道路之其它搬运工具;
b.主要使用于被保险人自有或承租不动产附近的运输工具;
c.依靠自带履带的滚动行驶前进的运输工具;
d.运输工具,不论是否属于自行驱动,主要系用于提供永久驱驶的动力:
(1)电动起重机,铲子,装货机,挖掘机或钻孔机;或
(2)与建筑或重新铺路有关的设备,例如平地机,刮除机或压土机;
e.不属于上述a、b、c、d,且本身没有驱动能力、主要以提供动力的附属型态运输工具,包括:
(1)空气压缩机,泵或发电机;包括喷洒,焊接,建筑物清理,地球物理学上开发,照明或挖井设备;
(2)升降台。
f.不属于上述a、b、c、d,且不是以运送人员或货物为主之运输工具。但是下述具备自行驱动能力且永久附着之设备不属于“运输设备”,而是属于“车辆”:
(1)以下列为主要设计目的之设备:
(a)清除积雪;
(b)保养道路,但与于建筑或重新铺路无关;或
(c)清理街道。
(2)安置于汽车或卡车底盘,并用于升降工人的车载升降台和类似设备;;
(3)动力压缩机,泵或发电机,包括喷洒,焊接,建筑物清理,地球物理学上开发,照明或挖井设备。
 

12.本保险合同所称“意外事故”系指引起人身伤害或财产损失的事件,包含持续或重复发生的危险或情况。
 

13.本保险合同所称“人格及广告侵害”系指因以下一种或多种攻击行为而生之损害,包括后续的人身伤害:
a.非法逮捕、拘禁或监禁;
b.恶意控告;
c.非法进入他人房间、住宅或财产,或将占有人从其房间、住宅或财产逐出;
d.以口头或书面毁谤或侮辱他人或其货品、产品或服务;
e.以口头或书面侵害他人之隐私权;
f.剽窃他人之广告创意;
g.侵害他人之著作权、商标、服务标章、商号或商业上之橱窗设计、或标语。
 

14.“污染物”
指任何固体、液体、气体或热的刺激物或污染物。包括烟、气、煤灰、毒气、酸、碱、有毒化合物和废弃物。废弃物包括被回收、重建、或改造之物质材料。
 

15.“产品责任危险”
本保险合同所称“产品责任危险”系指发生于被保险人所有或租用之场所以外且由列明“被保险人之产品”或“被保险人工作”之“人身伤害”或“财产损失”,但不包括被保险人仍实际拥有之产品。
 

16.“完工责任危险”
a.本保险合同所称“完工责任危险”系指发生于被保险人所有或租用之场所以外且由列明”被保险人工作之“人身伤害”或“财产损失”,但不包括被保险人尚未完工或放弃之工作。
(1)当被保险人已依照其合同完成所有之工作;
(2)当被保险人之合同内工作地点不止一处时,某一工作地点之工作已全部完成;
(3)当某一工作地点之工作已由他人(非指同一工作地点之其它承包商或次承包商),依原定目的使用。
已完成,但仍需服务,维修,校正,修理或重置之工作将被视为完工。
b.不包括下列原因所引起之“人身伤害”或“财产损失”:
(1)运送中之财产,除非损害不是因被保险人所有或操作之运输工具之状况所致,而且该状况是因被保险人运输工具“装卸”货物所产生;
(2)工具,未组装之设备或放弃或不再使用之财产。
 

17.本保险合同所称「财产损失」,系指:
a.保险期间内所发生有形财产之实质毁损或灭失,包括在任何时间因而所致之使用损失,或
b.保险期间内因意外事件之发生,致使有形财产虽未遭受实质毁损或灭失,但却因此而引起之使用损失。
在本保险合同中,电子数据不视为有形财产。
电子数据系指储存作为、储存于、创造、使用或构成计算机软件之信息、事实或程序,包括系统与应用软件,软、硬盘,CD-ROMS,卷带,驱动器、电池,数据处理器或任何其它用作电子控制设备之媒介。
 

18.本保险合同所称"诉讼"系指基于本保险合同所承保之“人身伤害”、“财产损失”或“人格及广告损害”所提出损害赔偿金之民事诉讼程序。“诉讼”包含:
a.损害赔偿金请求之仲裁程序但必须或确实呈报本公司并经其同意。
b.任何其它经本公司同意可解决请求损害赔偿金争议之程序。
 

19.本保险合同所称“临时性雇用之员工”为替代雇用之员工休假或应付季节性需求或短时间工作量增加所作用之员工。
 

20.本保险合同所称“义工”,系指不是被保险人之“员工”,而提供其工作并且接受被保险人之指示及决定工作范围之人,此外被保险人或他人对其工作并不支付费用,薪水或其它补偿。
 

21.本保险合同所称“被保险产品”
a.系指:
(1)除不动产以外之产品,由下列各人制造、销售、处理、配销或处置者:
(a)被保险人;
(b)以被保险人名义从事买卖交易之人;或
(c)资产或事业已为被保险人所取得之人或机构;且
(2)与被保险产品有关之容器、物质、零件或设备。
b.包括:
(1)于任何时间对被保险产品之适用性、质量、耐久性、功能或用途所为之担保或陈述;
(2)警告标示或使用说明书之提供或未能提供。
 

22.本保险合同所称“被保险人之工作”,
a.系指
(1)被保险人或其代理人所从事之工作或活动;而且
(2)因从事此等工作或活动而供给之材料,零件或设备。
b.包括
(1)与适用性,质量,耐用性或使用“被保险人工作”有关之保证或说明,而且
(2)提供或怠于提供警告或指示。


保单共同事项


本保险合同内所有承保事项均受限于以下保单共同事项之约定:
A.解除
1.保险合同所载之第一列名被保险人可以邮寄解除通知的方式或将注销通知送达本公司,以解除本保险合同。
 

2.本公司可以邮寄解除通知的方式或将解除通知送达本保险合同所载之第一列名被保险人,以解除本保险合同,但是:
a.若因被保险人未付保险费之理由解除本保险合同,本公司需在解除生效日至少前十五天发出解除通知;
b.若因其它理由解除本保险合同,本公司需在解除生效日至少前三十天发出解除通知。
 

3.本公司将邮寄解除通知或将解除通知送达至本保险合同所载之第一列名被保险人最近一次告知本公司的地址。
 

4.解除通知需载明解除生效日,本保险合同即在该生效日终止。
 

5.若本保险合同被解除,本公司将退还多余的保费于本保险合同所载之第一列名被保险人。若是本公司主动解除本保险合同,退还的保费将以比例方式计算。若是第一列名被保险人主动解除本保险合同,退还的保费将以短期费率方式计算。(其退还之保费将少于以比例方式计算之保费)解除生效与否不因退还的保费交付与否为限。
 

6.若解除通知以邮寄方式为之,则寄信证明即可作为通知之证明。
B.合同内容之变更
本保险合同系列名被保险人与本公司就保险有关事项达成的协议。若有任何变更,仅限就本保险合同之部份变更,并与第一列名被保险人提出申请并经本公司签发批单同意后始生效力。
C.纪录、账册及凭证之查阅
本公司有权在保险期间及本保险合同终止后三年内随时查阅与本保险单有关之纪录、账册、凭证。
D.查勘


1.本公司有权从事下列事项:
a.得随时前往检查、勘验;
b.对实际发现之状况提出报告;且
c.提出改善建议事项。
 

2.本公司无义务从事任何检查、勘验、提出实况报告或建议报告,且该检查、勘验报告及建议事项系用以评估危险之可保性及计算保费之参考,并非从事安全检查,故本公司不承担劳工安全、公共安全之责任。本公司亦不担保:
a.作业情形的安全性;或
b.其作业是否符合法律、法令规定及相关之工业标准。
 

E.保险费
本保险合同所载之第一列名被保险人:
1.负有交付保险费之义务
2.如有保险费退费情形时则为退费受领人。
 

F.权利及义务之移转
本保险合同权利及义务之移转须经本公司签批同意方产生效力;但列名被保险人为个人且死亡时,不在此限。
若被保险人死亡,该权利或义务将移转于其遗产管理人,但仅限于其职务权限行使范围内。在遗产管理人派定前,适当暂时管理被保险人财产之人,对该项财产享有权利并负有义务。

·Various provisions in this policy restrict coverage. Read the entire policy carefully to determine rights, duties and what is and is not covered.
·Throughout this policy the words "you" and "your" refer to the Named Insured shown in the Declarations, and any other person or organization qualifying as a Named Insured under this policy.
·The words "we", "us" and "our" refer to the company providing this insurance.
·The word "insured" means any person or organization qualifying as such under Section II – Who Is An Insured.
·Other words and phrases that appear in quotation marks have special meaning. Refer to Section VI – Definitions.


SECTION I – COVERAGES
COVERAGE A BODILY INJURY AND PROPERTY DAMAGE LIABILITY

1.Insuring Agreement

a.We will pay those sums that the insured becomes legally obligated to pay as damages because of "bodily injury" or "property damage" to which this insurance applies. We will have the right and duty to defend the insured against any "suit" seeking those damages. However, we will have no duty to defend the insured against any "suit" seeking damages for "bodily injury" or "property damage" to which this insurance does not apply. We may, at our discretion, investigate any "occurrence" and settle any claim or "suit" that may result. But:
(1)The amount we will pay for damages is limited as described in Section III – Limits Of Insurance; and
(2)Our right and duty to defend ends when we have used up the applicable limit of insurance in the payment of judgments or settlements under Coverages A or B.
No other obligation or liability to pay sums or perform acts or services is covered unless explicitly provided for under Supplementary Payments – Coverages A and B.
 

b.This insurance applies to "bodily injury" and "property damage" only if:
(1)The "bodily injury" or "property damage" is caused by an "occurrence" that takes place in the "coverage territory";
(2)The "bodily injury" or "property damage" did not occur before the Retroactive Date, if any, shown in the Declarations or after the end of the policy period; and
(3)A claim for damages because of the "bodily injury" or "property damage" is first made against any insured, in accordance with Paragraph c. below, during the policy period or any Extended Reporting Period we provide under Section V – Extended Reporting Periods.
 

c.A claim by a person or organization seeking damages will be deemed to have been made at the earlier of the following times:
(1)When notice of such claim is received and recorded by any insured or by us, whichever comes first; or
(2)When we make settlement in accordance with Paragraph 1.a. above.
All claims for damages because of "bodily injury" to the same person, including damages claimed by any person or organization for care, loss of services, or death resulting at any time from the "bodily injury", will be deemed to have been made at the time the first of those claims is made against any insured.
All claims for damages because of "property damage" causing loss to the same person or organization will be deemed to have been made at the time the first of those claims is made against any insured.
 

2.Exclusions
This insurance does not apply to:
 

a.Expected Or Intended Injury
"Bodily injury" or "property damage" expected or intended from the standpoint of the insured. This exclusion does not apply to "bodily injury" resulting from the use of reasonable force to protect persons or property.
 

b.Contractual Liability
"Bodily injury" or "property damage" for which the insured is obligated to pay damages by reason of the assumption of liability in a contract or agreement.
This exclusion does not apply to liability for damages:
(1)That the insured would have in the absence of the contract or agreement; or
(2)Assumed in a contract or agreement that is an "insured contract", provided the "bodily injury" or "property damage" occurs subsequent to the execution of the contract or agreement. Solely for the purposes of liability assumed in an "insured contract", reasonable attorney fees and necessary litigation expenses incurred by or for a party other than an insured are deemed to be damages because of "bodily injury" or "property damage", provided:
(a)Liability to such party for, or for the cost of, that party's defense has also been assumed in the same "insured contract"; and
(b)Such attorney fees and litigation expenses are for defense of that party against a civil or alternative dispute resolution proceeding in which damages to which this insurance applies are alleged.
 

c.Liquor Liability
"Bodily injury" or "property damage" for which any insured may be held liable by reason of:
(1)Causing or contributing to the intoxication of any person;
(2)The furnishing of alcoholic beverages to a person under the legal drinking age or under the influence of alcohol; or
(3)Any statute, ordinance or regulation relating to the sale, gift, distribution or use of alcoholic beverages.
This exclusion applies only if you are in the business of manufacturing, distributing, selling, serving or furnishing alcoholic beverages.
 

d.Workers' Compensation And Similar Laws
Any obligation of the insured under a workers' compensation, disability benefits or unemployment compensation law or any similar law.
 

e.Employer's Liability
"Bodily injury" to:
(1)An "employee" of the insured arising out of and in the course of:
(a)Employment by the insured; or
(b)Performing duties related to the conduct of the insured's business; or
(2)The spouse, child, parent, brother or sister of that "employee" as a consequence of Paragraph (1) above.
This exclusion applies:
(1)Whether the insured may be liable as an employer or in any other capacity; and
(2)To any obligation to share damages with or repay someone else who must pay damages because of the injury.
This exclusion does not apply to liability assumed by the insured under an "insured contract".
 

f.Pollution
(1)"Bodily injury" or "property damage" which would not have occurred in whole or part but for the actual, alleged or threatened discharge, dispersal, seepage, migration, release or escape of "pollutants" at any time.
(2)Any loss, cost or expense arising out of any:
(a)Request, demand, order or statutory or regulatory requirement that any insured or others test for, monitor, clean up, remove, contain, treat, detoxify or neutralize, or in any way respond to, or assess the effects of "pollutants"; or
(b)Claim or suit by or on behalf of a governmental authority for damages because of testing for, monitoring, cleaning up, removing, containing, treating, detoxifying or neutralizing, or in any way responding to, or assessing the effects of, "pollutants".
 

g.Aircraft, Auto Or Watercraft
"Bodily injury" or "property damage" arising out of the ownership, maintenance, use or entrustment to others of any aircraft, "auto" or watercraft owned or operated by or rented or loaned to any insured. Use includes operation and "loading or unloading".
This exclusion applies even if the claims against any insured allege negligence or other wrongdoing in the supervision, hiring, employment, training or monitoring of others by that insured, if the "occurrence" which caused the "bodily injury" or "property damage" involved the ownership, maintenance, use or entrustment to others of any aircraft, "auto" or watercraft that is owned or operated by or rented or loaned to any insured.
This exclusion does not apply to:
(1)A watercraft while ashore on premises you own or rent;
(2)A watercraft you do not own that is:
(a)Less than 26 feet long; and
(b)Not being used to carry persons or property for a charge;
(3)Parking an "auto" on, or on the ways next to, premises you own or rent, provided the "auto" is not owned by or rented or loaned to you or the insured;
(4)"Bodily injury" or "property damage" arising out of the operation of any of the equipment listed in Paragraph f.(2) or f.(3) of the definition of "mobile equipment".
 

h.Mobile Equipment
"Bodily injury" or "property damage" arising out of:
(1) The transportation of "mobile equipment" by an "auto" owned or operated by or rented or loaned to any insured; or
(2)The use of "mobile equipment" in, or while in practice for, or while being prepared for, any prearranged racing, speed, demolition, or stunting activity.
 

i.War
"Bodily injury" or "property damage" due to war, whether or not declared, or any act or condition incident to war. War includes civil war, insurrection, rebellion or revolution. This exclusion applies only to liability assumed under a contract or agreement.
 

j.Damage To Property
"Property damage" to:
(1)Property you own, rent, or occupy, including any costs or expenses incurred by you, or any other person, organization or entity, for repair, replacement, enhancement, restoration or maintenance of such property for any reason, including prevention of injury to a person or damage to another's property;
(2)Premises you sell, give away or abandon, if the "property damage" arises out of any part of those premises;
(3)Property loaned to you;
(4)Personal property in the care, custody or control of the insured;
(5)That particular part of real property on which you or any contractors or subcontractors working directly or indirectly on your behalf are performing operations, if the "property damage" arises out of those operations; or
(6)That particular part of any property that must be restored, repaired or replaced because "your work" was incorrectly performed on it.
Paragraphs (1), (3) and (4) of this exclusion do not apply to "property damage" (other than damage by fire) to premises, including the contents of such premises, rented to you for a period of 7 or fewer consecutive days. A separate limit of insurance applies to Damage To Premises Rented To You as described in Section III – Limits Of Insurance.
Paragraph (2) of this exclusion does not apply if the premises are "your work" and were never occupied, rented or held for rental by you.
Paragraphs (3), (4), (5) and (6) of this exclusion do not apply to liability assumed under a sidetrack agreement.
Paragraph (6) of this exclusion does not apply to "property damage" included in the "completed operations hazard".
 

k.Damage To Your Product
"Property damage" to "your product" arising out of it or any part of it.
 

l.Damage To Your Work
"Property damage" to "your work" arising out of it or any part of it and included in the "completed operations hazard".
This exclusion does not apply if the damaged work or the work out of which the damage arises was performed on your behalf by a subcontractor.
 

m.Damage To Impaired Property Or Property Not Physically Injured
"Property damage" to "impaired property" or property that has not been physically injured, arising out of:
(1)A defect, deficiency, inadequacy or dangerous condition in "your product" or "your work"; or
(2)A delay or failure by you or anyone acting on your behalf to perform a contract or agreement in accordance with its terms.
This exclusion does not apply to the loss of use of other property arising out of sudden and accidental physical injury to "your product" or "your work" after it has been put to its intended use.
 

n.Recall Of Products, Work Or Impaired Property
Damages claimed for any loss, cost or expense incurred by you or others for the loss of use, withdrawal, recall, inspection, repair, replacement, adjustment, removal or disposal of:
(1)"Your product";
(2)"Your work"; or
(3)"Impaired property";
if such product, work, or property is withdrawn or recalled from the market or from use by any person or organization because of a known or suspected defect, deficiency, inadequacy or dangerous condition in it.
 

o.Personal And Advertising Injury
"Bodily injury" arising out of "personal and advertising injury".
Exclusions c. through n. do not apply to damage by fire to premises while rented to you or temporarily occupied by you with permission of the owner. A separate limit of insurance applies to this coverage as described in Section III – Limits Of Insurance.

COVERAGE B PERSONAL AND ADVERTISING INJURY LIABILITY
1.Insuring Agreement
a.We will pay those sums that the insured becomes legally obligated to pay as damages because of "personal and advertising injury" to which this insurance applies. We will have the right and duty to defend the insured against any "suit" seeking those damages. However, we will have no duty to defend the insured against any "suit" seeking damages for "personal and advertising injury" to which this insurance does not apply. We may, at our discretion, investigate any offense and settle any claim or "suit" that may result. But:
(1)The amount we will pay for damages is limited as described in Section III – Limits Of Insurance ; and
(2)Our right and duty to defend end when we have used up the applicable limit of insurance in the payment of judgments or settlements under Coverages A or B.
No other obligation or liability to pay sums or perform acts or services is covered unless explicitly provided for under Supplementary Payments – Coverages A and B.
 

b.This insurance applies to "personal and advertising injury" caused by an offense arising out of your business, but only if:
(1)The offense was committed in the "coverage territory";
(2)The offense was not committed before the Retroactive Date, if any, shown in the Declarations or after the end of the policy period; and
(3)A claim for damages because of the "personal and advertising injury" is first made against any insured, in accordance with Paragraph c. below, during the policy period or any Extended Reporting Period we provide under Section V – Extended Reporting Periods.
 

c.A claim made by a person or organization seeking damages will be deemed to have been made at the earlier of the following times:
(1)When notice of such claim is received and recorded by any insured or by us, whichever comes first; or
(2)When we make settlement in accordance with Paragraph 1.a. above.
All claims for damages because of "personal and advertising injury" to the same person or organization as a result of an offense will be deemed to have been made at the time the first of those claims is made against any insured.
 

2.Exclusions
This insurance does not apply to:
a.Knowing Violation Of Rights Of Another
"Personal and advertising injury" caused by or at the direction of the insured with the knowledge that the act would violate the rights of another and would inflict "personal and advertising injury".
 

b.Material Published With Knowledge Of Falsity
"Personal and advertising injury" arising out of oral or written publication of material, if done by or at the direction of the insured with knowledge of its falsity.
 

c.Material Published Prior To Policy Period
"Personal and advertising injury" arising out of oral or written publication of material whose first publication took place before the Retroactive Date, if any, shown in the Declarations.
 

d.Criminal Acts
"Personal and advertising injury" arising out of a criminal act committed by or at the direction of the insured.
 

e.Contractual Liability
"Personal and advertising injury" for which the insured has assumed liability in a contract or agreement. This exclusion does not apply to liability for damages that the insured would have in the absence of the contract or agreement.
 

f.Breach Of Contract
"Personal and advertising injury" arising out of a breach of contract, except an implied contract to use another's advertising idea in your "advertisement".
 

g.Quality Or Performance Of Goods – Failure To Conform To Statements
"Personal and advertising injury" arising out of the failure of goods, products or services to conform with any statement of quality or performance made in your "advertisement".
 

h.Wrong Description Of Prices
"Personal and advertising injury" arising out of the wrong description of the price of goods, products or services stated in your "advertisement".
 

i.Infringement Of Copyright, Patent, Trademark Or Trade Secret
"Personal and advertising injury" arising out of the infringement of copyright, patent, trademark, trade secret or other intellectual property rights.
However, this exclusion does not apply to infringement, in your "advertisement", of copyright, trade dress or slogan.
 

j.Insureds In Media And Internet Type Businesses
 "Personal and advertising injury" committed by an insured whose business is:
(1)Advertising, broadcasting, publishing or telecasting;
(2)Designing or determining content of websites for others; or
(3)An Internet search, access, content or service provider.
However, this exclusion does not apply to Paragraphs 1.a., b. and c. of "personal and advertising injury" under the Definitions Section.
For the purposes of this exclusion, the placing of frames, borders or links, or advertising, for you or others anywhere on the Internet, is not by itself, considered the business of advertising, broadcasting, publishing or telecasting.
 

k.Electronic Chatrooms Or Bulletin Boards
"Personal and advertising injury" arising out of an electronic chatroom or bulletin board the insured hosts, owns, or over which the insured exercises control.
 

l.Unauthorized Use Of Another's Name Or Product
"Personal and advertising injury" arising out of the unauthorized use of another's name or product in your e-mail address, domain name or metatag, or any other similar tactics to mislead another's potential customers.
 

m.Pollution
"Personal and advertising injury" arising out of the actual, alleged or threatened discharge, dispersal, seepage, migration, release or escape of "pollutants" at any time.
 

n.Pollution-Related
Any loss, cost or expense arising out of any:
(1)Request, demand or order that any insured or others test for, monitor, clean up, remove, contain, treat, detoxify or neutralize, or in any way respond to, or assess the effects of, "pollutants"; or
(2)Claim or suit by or on behalf of a governmental authority for damages because of testing for, monitoring, cleaning up, removing, containing, treating, detoxifying or neutralizing, or in any way responding to, or assessing the effects of, "pollutants".
 

SUPPLEMENTARY PAYMENTS – COVERAGES A AND B
1.We will pay, with respect to any claim we investigate or settle, or any "suit" against an insured we defend:
a.All expenses we incur, including but not limited to all reasonable expenses of lawyers and adjusters expenses admitted by us in advance.
b.Up to $250 for cost of bail bonds required because of accidents or traffic law violations arising out of the use of any vehicle to which the Bodily Injury Liability Coverage applies. We do not have to furnish these bonds.
c.The cost of bonds to release attachments, but only for bond amounts within the applicable limit of insurance. We do not have to furnish these bonds.
d.All reasonable expenses incurred by the insured at our request to assist us in the investigation or defense of the claim or "suit", including actual loss of earnings up to $250 a day because of time off from work.
e.All costs taxed against the insured in the "suit".
f.Prejudgment interest awarded against the insured on that part of the judgment we pay. If we make an offer to pay the applicable limit of insurance, we will not pay any prejudgment interest based on that period of time after the offer.
g.All interest on the full amount of any judgment that accrues after entry of the judgment and before we have paid, offered to pay, or deposited in court the part of the judgment that is within the applicable limit of insurance.
These payments will reduce the limits of insurance.
 

2.If we defend an insured against a "suit" and an indemnitee of the insured is also named as a party to the "suit", we will defend that indemnitee if all of the following conditions are met:
a.The "suit" against the indemnitee seeks damages for which the insured has assumed the liability of the indemnitee in a contract or agreement that is an "insured contract";
b.This insurance applies to such liability assumed by the insured;
c.The obligation to defend, or the cost of the defense of, that indemnitee, has also been assumed by the insured in the same "insured contract";
d.The allegations in the "suit" and the information we know about the "occurrence" are such that no conflict appears to exist between the interests of the insured and the interests of the indemnitee;
e.The indemnitee and the insured ask us to conduct and control the defense of that indemnitee against such "suit" and agree that we can assign the same counsel to defend the insured and the indemnitee; and
f.The indemnitee:
(1)Agrees in writing to:
(a)Cooperate with us in the investigation, settlement or defense of the "suit";
(b)Immediately send us copies of any demands, notices, summonses or legal papers received in connection with the "suit";
(c)Notify any other insurer whose coverage is available to the indemnitee; and
(d)Cooperate with us with respect to coordinating other applicable insurance available to the indemnitee; and
(2)Provides us with written authorization to:
(a)Obtain records and other information related to the "suit"; and
(b)Conduct and control the defense of the indemnitee in such "suit".
So long as the above conditions are met, attorneys' fees incurred by us in the defense of that indemnitee, necessary litigation expenses incurred by us and necessary litigation expenses incurred by the indemnitee at our request will be paid as Supplementary Payments. Such fees and expenses will reduce the limits of insurance.
Our obligation to defend an insured's indemnitee and to pay for attorneys' fees and necessary litigation expenses as Supplementary Payments ends when:
a.We have used up the applicable limit of insurance in the payment of judgments or settlements; or
b.The conditions set forth above, or the terms of the agreement described in Paragraph f. above, are no longer met.


SECTION II – WHO IS AN INSURED
1.If you are designated in the Declarations as:
a.An individual, you and your spouse are insureds, but only with respect to the conduct of a business of which you are the sole owner.
b.A partnership or joint venture, you are an insured. Your members, your partners, and their spouses are also insureds, but only with respect to the conduct of your business.
c.A limited company or company limited by shares, you are an insured. Your members are also insureds, but only with respect to the conduct of your business. Your managers are insureds, but only with respect to their duties as your managers.
d.An organization other than a partnership, joint venture or limited company or company limited by shares, you are an insured. Your "executive officers" and directors are insureds, but only with respect to their duties as your officers or directors. Your stockholders are also insureds, but only with respect to their liability as stockholders.
e.A trust, you are an insured. Your trustees are also insureds, but only with respect to their duties as trustees.
 

2.Each of the following is also an insured:
a.Your "volunteer workers" only while performing duties related to the conduct of your business, or your "employees", other than either your "executive officers" (if you are an organization other than a partnership, joint venture, limited company or company limited by shares) or your managers (if you are a limited company or company limited by shares), but only for acts within the scope of their employment by you or while performing duties related to the conduct of your business. However, none of these "employees" or "volunteer workers" are insureds for:
(1)"Bodily injury" or "personal and advertising injury":
(a)To you, to your partners or members (if you are a partnership or joint venture), to your members (if you are a limited company or company limited by shares), to a co-"employee" while in the course of his or her employment or performing duties related to the conduct of your business, or to your other "volunteer workers" while performing duties related to the conduct of your business;
(b)To the spouse, child, parent, brother or sister of that co-"employee" or "volunteer worker" as a consequence of Paragraph (1)(a) above;
(c)For which there is any obligation to share damages with or repay someone else who must pay damages because of the injury described in Paragraphs (1)(a) or (b) above; or
(d)Arising out of his or her providing or failing to provide professional health care services.
(2)"Property damage" to property:
(a)Owned, occupied or used by,
(b)Rented to, in the care, custody or control of, or over which physical control is being exercised for any purpose by you, any of your "employees", "volunteer workers", any partner or member (if you are a partnership or joint venture), or any member (if you are a limited liability company).
b.Any person (other than your "employee" or "volunteer worker"), or any organization while acting as your real estate manager.
c.Any person or organization having proper temporary custody of your property if you die, but only:
(1)With respect to liability arising out of the maintenance or use of that property; and
(2)Until your legal representative has been appointed.
d.Your legal representative if you die, but only with respect to duties as such. That representative will have all your rights and duties under this Coverage Part.
 

3.With respect to "mobile equipment" registered in your name under any motor vehicle registration law, any person is an insured while driving such equipment along a public highway with your permission. Any other person or organization responsible for the conduct of such person is also an insured, but only with respect to liability arising out of the operation of the equipment, and only if no other insurance of any kind is available to that person or organization for this liability. However, no person or organization is an insured with respect to:
a."Bodily injury" to a co-"employee" of the person driving the equipment; or
b."Property damage" to property owned by, rented to, in the charge of or occupied by you or the employer of any person who is an insured under this provision.
4.Any organization you newly acquire or form, other than a partnership, joint venture or limited company or company limited by shares, and over which you maintain ownership or majority interest, will qualify as a Named Insured if there is no other similar insurance available to that organization. However:
a.Coverage under this provision is afforded only until the 90th day after you acquire or form the organization or the end of the policy period, whichever is earlier;
b.Coverage A does not apply to "bodily injury" or "property damage" that occurred before you acquired or formed the organization; and
c.Coverage B does not apply to "personal and advertising injury" arising out of an offense committed before you acquired or formed the organization.
No person or organization is an insured with respect to the conduct of any current or past partnership, joint venture or limited company or company limited by shares that is not shown as a Named Insured in the Declarations.


SECTION III – LIMITS OF INSURANCE
1.The Limits of Insurance shown in the Declarations and the rules below fix the most we will pay regardless of the number of:
a.Insureds;
b.Claims made or "suits" brought; or
c.Persons or organizations making claims or bringing "suits".
 

2.The General Aggregate Limit is the most we will pay for the sum of:
a.Damages under Coverage A;
b.Damages under Coverage B;and
c.Payments under Supplementary Payments – Coverage A and B.
 

3.Subject to 2. above, the Products Liability Aggregate Limit is the most we will pay under Coverage A for damages because of "bodily injury" and "property damage" included in the "products hazard."
 

4.Subject to 2. above, the Completed Operations Aggregate Limit is the most we will pay under Coverage A for damages because of "bodily injury" and "property damage" included in the " completed operations hazard."
 

5.Subject to 2. above, the Personal and Advertising Injury Aggregate Limit is the most we will pay under Coverage B for the sum of all damages because of all "personal and advertising injury."
 

6.Subject to 3., 4. and 5., the Products Liability Aggregate Limit, the Completed Operations Aggregate Limit and the Personal and Advertising Aggregate Injury Limit is part of, and not in addition to, the General Aggregate Limit.
 

7.Subject to 3. or 4. or 5. above, whichever applies, the Each Occurrence Limit is the most we will pay for the sum of:
a.Damages under Coverage A;
b.Damages under Coverage B; and
c.Payments under Supplementary Payments – Coverage A and B arising out of any one "occurrence".
 

8.Subject to 7. above, the Damage To Premises Rented To You Limit is the most we will pay under Coverage A for damages because of "property damage" to any one premises, while rented to you, or in the case of damage by fire, while rented to you or temporarily occupied by you with permission of the owner.
The Limits of Insurance of this Coverage Part apply separately to each consecutive annual period and to any remaining period of less than 12 months, starting with the beginning of the policy period shown in the Declarations, unless the policy period is extended after issuance for an additional period of less than 12 months. In that case, the additional period will be deemed part of the last preceding period for purposes of determining the Limits of Insurance.


SECTION IV – COMMERCIAL GENERAL LIABILITY CONDITIONS
1.Bankruptcy
Bankruptcy or insolvency of the insured or of the insured's estate will not relieve us of our obligations under this Coverage Part.
 

2.Duties In The Event Of Occurrence, Offense, Claim Or Suit
a.You must see to it that we are notified as soon as practicable of an "occurrence" or an offense which may result in a claim. To the extent possible, notice should include:
(1)How, when and where the "occurrence" or offense took place;
(2)The names and addresses of any injured persons and witnesses; and
(3)The nature and location of any injury or damage arising out of the "occurrence" or offense.
b.If a claim is made or "suit" is brought against any insured, you must:
(1)Immediately record the specifics of the claim or "suit" and the date received; and
(2)Notify us as soon as practicable.
You must see to it that we receive written notice of the claim or "suit" as soon as practicable.
c.You and any other involved insured must:
(1)Immediately send us copies of any demands, notices, summonses or legal papers received in connection with the claim or "suit";
(2)Authorize us to obtain records and other information;
(3)Cooperate with us in the investigation or settlement of the claim or defense against the "suit"; and
(4)Assist us, upon our request, in the enforcement of any right against any person or organization which may be liable to the insured because of injury or damage to which this insurance may also apply.
d.No insured will, except at that insured's own cost, voluntarily make a payment, assume any obligation, or incur any expense, other than for first aid, without our consent.
 

3.Legal Action Against Us
No person or organization has a right under this Coverage Part:
a.To join us as a party or otherwise bring us into a "suit" asking for damages from an insured; or
b.To sue us on this Coverage Part unless all of its terms have been fully complied with.
A person or organization may sue us to recover on an agreed settlement or on a final judgment against an insured; but we will not be liable for damages that are not payable under the terms of this Coverage Part or that are in excess of the applicable limit of insurance. An agreed settlement means a settlement and release of liability signed by us, the insured and the claimant or the claimant's legal representative.
 

4.Other Insurance
If other valid and collectible insurance is available to the insured for a loss we cover under Coverages A or B of this Coverage Part, our obligations are limited as follows:
a.Primary Insurance
This insurance is primary except when b. below applies. If this insurance is primary, our obligations are not affected unless any of the other insurance is also primary. Then, we will share with all that other insurance by the method described in c. below.
b.Excess Insurance
This insurance is excess over:
(1)Any of the other insurance, whether primary, excess, contingent or on any other basis:
(a)That is Fire, Extended Coverage, Builders' Risk, Installation Risk or similar coverage for "your work";
(b)That is Fire insurance for premises rented to you or temporarily occupied by you with permission of the owner;
(c)That is insurance purchased by you to cover your liability as a tenant for "property damage" to premises rented to you or temporarily occupied by you with permission of the owner; or
(d)If the loss arises out of the maintenance or use of aircraft, "autos" or watercraft to the extent not subject to Exclusion g. of Section I – Coverage A – Bodily Injury And Property Damage Liability.
(2)Any other primary insurance available to you covering liability for damages arising out of the premises or operations for which you have been added as an additional insured by attachment of an endorsement.
When this insurance is excess, we will have no duty under Coverages A or B to defend the insured against any "suit" if any other insurer has a duty to defend the insured against that "suit". If no other insurer defends, we will undertake to do so, but we will be entitled to the insured's rights against all those other insurers.
When this insurance is excess over other insurance, we will pay only our share of the amount of the loss, if any, that exceeds the sum of:
(1)The total amount that all such other insurance would pay for the loss in the absence of this insurance; and
(2)The total of all deductible and self-insured amounts under all that other insurance.
We will share the remaining loss, if any, with any other insurance that is not described in this Excess Insurance provision and was not bought specifically to apply in excess of the Limits of Insurance shown in the Declarations of this Coverage Part.
c.Method Of Sharing
If all of the other insurance permits contribution by equal shares, we will follow this method also. Under this approach each insurer contributes equal amounts until it has paid its applicable limit of insurance or none of the loss remains, whichever comes first.
If any of the other insurance does not permit contribution by equal shares, we will contribute by limits. Under this method, each insurer's share is based on the ratio of its applicable limit of insurance to the total applicable limits of insurance of all insurers.
 

5.Premium Adjustment
a.We will compute all premiums for this Coverage Part in accordance with our rules and rates.
b.Premium shown in this Declarations as a deposit premium will be credited to the amount of the earned premium due at the end of the policy period. At the end of the policy period, or any part of the policy period which ends with the termination of the policy, the earned premium will be calculated for such period and, upon notice to the named insured, will become due and payable. If the earned premium is less than the premium previously paid, we will return to the named insured the difference, provided that the adjusted premium is not less than the minimum premium indicated in the Declarations.
c.The first Named Insured must keep records of the information we need for premium computation, and send us copies at such times as we may request.
 

6.Representations
By accepting this policy, you agree:
a.The statements in the Declarations are accurate and complete;
b.Those statements are based upon representations you made to us; and
c.We have issued this policy in reliance upon your representations.
 

7.Separation Of Insureds
Except with respect to the Limits of Insurance, and any rights or duties specifically assigned in this Coverage Part to the first Named Insured, this insurance applies:
a.As if each Named Insured were the only Named Insured; and
b.Separately to each insured against whom claim is made or "suit" is brought.
 

8.Transfer Of Rights Of Recovery Against Others To Us
If the insured has rights to recover all or part of any payment we have made under this Coverage Part, those rights are transferred to us. The insured must do nothing after loss to impair them. At our request, the insured will bring "suit" or transfer those rights to us and help us enforce them.
 

9.When We Do Not Renew
If we decide not to renew this Coverage Part, we will mail or deliver to the first Named Insured shown in the Declarations written notice of the non-renewal not less than 30 days before the expiration date.
If notice is mailed, proof of mailing will be sufficient proof of notice.
 

10. Your Right To Claim And "Occurrence" Information
We will provide the first Named Insured shown in the Declarations the following information relating to this and any preceding general liability claims-made Coverage Part we have issued to you during the previous three years:
a.A list or other record of each "occurrence", not previously reported to any other insurer, of which we were notified in accordance with Paragraph 2.a. of the Section IV – Duties In The Event Of Occurrence, Offense, Claim Or Suit Condition. We will include the date and brief description of the "occurrence" if that information was in the notice we received.
b.A summary by policy year, of payments made and amounts reserved, stated separately, under any applicable General Aggregate Limit, Products Liability Aggregate Limit and Completed Operations Aggregate Limit.
Amounts reserved are based on our judgment. They are subject to change and should not be regarded as ultimate settlement values.
You must not disclose this information to any claimant or any claimant's representative without our consent.
If we cancel or elect not to renew this Coverage Part, we will provide such information no later than 30 days before the date of policy termination. In other
circumstances, we will provide this information only if we receive a written request from the first Named Insured within 60 days after the end of the policy period. In this case, we will provide this information within 45 days of receipt of the request.
We compile claim and "occurrence" information for our own business purposes and exercise reasonable care in doing so. In providing this information to the first Named Insured, we make no representations or warranties to insureds, insurers, or others to whom this information is furnished by or on behalf of any insured. Cancellation or non-renewal will be effective even if we inadvertently provide inaccurate information.
 

SECTION V – EXTENDED REPORTING PERIODS
1.We will provide one or more Extended Reporting Periods, as described below, if:
a.This Coverage Part is canceled or not renewed; or
b.We renew or replace this Coverage Part with insurance that:
(1)Has a Retroactive Date later than the date shown in the Declarations of this Coverage Part; or
(2)Does not apply to "bodily injury", "property damage" or "personal and advertising injury" on a claims-made basis.
 

2.Extended Reporting Periods do not extend the policy period or change the scope of coverage provided. They apply only to claims for:
a."Bodily injury" or "property damage" that occurs before the end of the policy period but not before the Retroactive Date, if any, shown in the Declarations; or
b."Personal and advertising injury" caused by an offense committed before the end of the policy period but not before the Retroactive Date, if any, shown in the Declarations.
Once in effect, Extended Reporting Periods may not be canceled.
 

3.A Basic Extended Reporting Period is automatically provided without additional charge. This period starts with the end of the policy period and lasts for:
a.Five years with respect to claims because of "bodily injury" and "property damage" arising out of an "occurrence" reported to us, not later than Extended Reporting  Period shown in the Declarations after the end of the policy period, in accordance with Paragraph 2.a. of the Section IV – Duties In The Event Of Occurrence, Offense, Claim Or Suit Condition;
b.Five years with respect to claims because of "personal and advertising injury" arising out of an offense reported to us, not later than Extended Reporting  Period shown in the Declarations after the end of the policy period, in accordance with Paragraph 2.a. of the Section IV – Duties In The Event Of Occurrence, Offense, Claim Or Suit Condition; and
c.Extended Reporting Period shown in the Declarations with respect to claims arising from "occurrences" or offenses not previously reported to us.
The Basic Extended Reporting Period does not apply to claims that are covered under any subsequent insurance you purchase, or that would be covered but for exhaustion of the amount of insurance applicable to such claims.
 

4.The Basic Extended Reporting Period does not reinstate or increase the Limits of Insurance.
 

5.A Supplemental Extended Reporting Period of unlimited duration is available, but only by an endorsement and for an extra charge. This supplemental period starts when the Basic Extended Reporting Period, set forth in Paragraph 3. above, ends.
You must give us a written request for the endorsement before the end of this policy period or within the Basic Extended Reporting Period after the end of the policy period. The Supplemental Extended Reporting Period will not go into effect unless you pay the additional premium promptly when due.
We will determine the additional premium in accordance with our rules and rates. In doing so, we may take into account the following:
a.The exposures Insured;
b.Previous types and amounts of insurance;
c.Limits of Insurance available under this Coverage Part for future payment of damages; and
d.Other related factors.
The additional premium will not exceed 200% of the annual premium for this Coverage Part.
This endorsement shall set forth the terms, not inconsistent with this Section, applicable to the Supplemental Extended Reporting Period, including a provision to the effect that the insurance afforded for claims first received during such period is excess over any other valid and collectible insurance available under policies in force after the Supplemental Extended Reporting Period starts.
 

6.If the Supplemental Extended Reporting Period is in effect, we will provide the supplemental aggregate limits of insurance described below, but only for claims first received and recorded during the Supplemental Extended Reporting Period.
The supplemental aggregate limits of insurance will be equal to the dollar amount shown in the Declarations in effect at the end of the policy period for such of the following limits of insurance for which a dollar amount has been entered:
General Aggregate Limit
Products Liability Aggregate Limit
Completed Operations Aggregate Limit
Paragraphs 2., 3. and  4. of Section III – Limits Of Insurance will be amended accordingly.
The Personal and Advertising Injury Aggregate Limit, the Each Occurrence Limit and the Damage To Premises Rented To You Limit shown in the Declarations will then continue to apply, as set forth in Paragraphs 5., 6., 7. and  8. of that Section.


SECTION VI – DEFINITIONS
1."Advertisement" means a notice that is broadcast or published to the general public or specific market segments about your goods, products or services for the purpose of attracting customers or supporters. For the purposes of this definition:
a.Notices that are published include material placed on the Internet or on similar electronic means of communication; and
b.Regarding web-sites, only that part of a website that is about your goods, products or services for the purposes of attracting customers or supporters is considered an advertisement.
 

2."Auto" means a land motor vehicle, trailer or semitrailer designed for travel on public roads, including any attached machinery or equipment. But "auto" does not include "mobile equipment".
 

3."Bodily injury" means bodily injury, sickness or disease sustained by a person, including death resulting from any of these at any time.
 

4."Coverage territory"  means:
a.Territories shown in the Declarations;
b.International waters or airspace, but only if the injury or damage occurs in the course of travel or transportation between any places included in a. above; or
c.All other parts of the world if the injury or damage arises out of:
(1)Goods or products made or sold by you in the territory described in a. above;
(2)The activities of a person whose home is in the territory described in a. above, but is away for a short time on your business; or
(3)"Personal and advertising injury" offenses that take place through the Internet or similar electronic means of communication provided the insured's responsibility to pay damages is determined in a "suit" on the merits, in the territory described in a. above or in a settlement we agree to.
 

5."Employee" includes a "leased worker". "Employee" does not include a "temporary worker".
 

6."Executive officer" means a person holding any of the officer positions created by your charter, constitution, by-laws or any other similar governing document.
 

7."Impaired property" means tangible property, other than "your product" or "your work", that cannot be used or is less useful because:
a.It incorporates "your product" or "your work" that is known or thought to be defective, deficient, inadequate or dangerous; or
b.You have failed to fulfill the terms of a contract or agreement;
if such property can be restored to use by:
a.The repair, replacement, adjustment or removal of "your product" or "your work"; or
b.Your fulfilling the terms of the contract or agreement.
 

8."Insured contract" means:
a.A contract for a lease of premises. However, that portion of the contract for a lease of premises that indemnifies any person or organization for damage by fire to premises while rented to you or temporarily occupied by you with permission of the owner is not an "insured contract";
b.sidetrack agreement;
c.Any easement or license agreement, except in connection with construction or demolition operations on or within 50 feet of a railroad;
d.An obligation, as required by ordinance, to indemnify a municipality, except in connection with work for a municipality;
e.An elevator maintenance agreement;
 

9."Leased worker" means a person leased to you by a labor leasing firm under an agreement between you and the labor leasing firm, to perform duties related to the conduct of your business. "Leased worker" does not include a "temporary worker".
 

10."Loading or unloading" means the handling of property:
a.After it is moved from the place where it is accepted for movement into or onto an aircraft, watercraft or "auto";
b.While it is in or on an aircraft, watercraft or "auto"; or
c.While it is being moved from an aircraft, watercraft or "auto" to the place where it is finally delivered;
but "loading or unloading" does not include the movement of property by means of a mechanical device, other than a hand truck, that is not attached to the aircraft, watercraft or "auto".
 

11."Mobile equipment" means any of the following types of land vehicles, including any attached machinery or equipment:
a.Bulldozers, farm machinery, forklifts and other vehicles designed for use principally off public roads;
b.Vehicles maintained for use solely on or next to premises you own or rent;
c.Vehicles that travel on crawler treads;
d.Vehicles, whether self-propelled or not, maintained primarily to provide mobility to permanently mounted:
(1)Power cranes, shovels, loaders, diggers or drills; or
(2)Road construction or resurfacing equipment such as graders, scrapers or rollers;
e.Vehicles not described in a., b., c. or d. above that are not self-propelled and are maintained primarily to provide mobility to permanently attached equipment of the following types:
(1)Air compressors, pumps and generators, including spraying, welding, building cleaning, geophysical exploration, lighting and well servicing equipment; or
(2)Cherry pickers and similar devices used to raise or lower workers;
f.Vehicles not described in a., b., c. or d. above maintained primarily for purposes other than the transportation of persons or cargo. However, self-propelled vehicles with the following types of permanently attached equipment are not "mobile equipment" but will be considered "autos":
(1)Equipment designed primarily for:
(a)Snow removal;
(b)Road maintenance, but not construction or resurfacing; or
(c)Street cleaning;
(2)Cherry pickers and similar devices mounted on automobile or truck chassis and used to raise or lower workers; and
(3)Air compressors, pumps and generators, including spraying, welding, building cleaning, geophysical exploration, lighting and well servicing equipment.
 

12."Occurrence" means an accident, including continuous or repeated exposure to substantially the same general harmful conditions.
 

13."Personal and advertising injury" means injury, including consequential "bodily injury", arising out of one or more of the following offenses:
a.False arrest, detention or imprisonment;
b.Malicious prosecution;
c.The wrongful eviction from, wrongful entry into, or invasion of the right of private occupancy of a room, dwelling or premises that a person occupies, committed by or on behalf of its owner, landlord or lessor;
d.Oral or written publication, in any manner, of material that slanders or libels a person or organization or disparages a person's or organization's goods, products or services;
e.Oral or written publication, in any manner, of material that violates a person's right of privacy;
f.The use of another's advertising idea in your "advertisement"; or
g.Infringing upon another's copyright, trade dress or slogan in your "advertisement".
 

14."Pollutants" mean any solid, liquid, gaseous or thermal irritant or contaminant, including smoke, vapor, soot, fumes, acids, alkalis, chemicals and waste. Waste includes materials to be recycled, reconditioned or reclaimed.
 

15."Products hazard":
Includes all "bodily injury" and "property damage" occurring away from premises you own or rent and arising out of "your product” except Products that are still in your physical possession.
 

16.“Completed operations hazard”
a.Includes all "bodily injury" and "property damage" occurring away from premises you own or rent and arising out of “Your Work” except work that has not yet been completed or abandoned. However, "your work" will be deemed completed at the earliest of the following times:
(1)When all of the work called for in your contract has been completed.
(2)When all of the work to be done at the job site has been completed if your contract calls for work at more than one job site.
(3)When that part of the work done at a job site has been put to its intended use by any person or organization other than another contractor or subcontractor working on the same project.
Work that may need service, maintenance, correction, repair or replacement, but which is otherwise complete, will be treated as completed.
b.Does not include "bodily injury" or "property damage" arising out of:
(1)The transportation of property, unless the injury or damage arises out of a condition in or on a vehicle not owned or operated by you, and that condition was created by the "loading or unloading" of that vehicle by any insured; or
(2)The existence of tools, uninstalled equipment or abandoned or unused materials.
 

17."Property damage" means:
a.Physical injury to tangible property, including all resulting loss of use of that property. All such loss of use shall be deemed to occur at the time of the physical injury that caused it; or
b.Loss of use of tangible property that is not physically injured. All such loss of use shall be deemed to occur at the time of the "occurrence" that caused it.
For the purposes of this insurance, electronic data is not tangible property.
As used in this definition, electronic data means information, facts or programs stored as or on, created or used on, or transmitted to or from computer software, including systems and applications software, hard or floppy disks, CD-ROMS, tapes, drives, cells, data processing devices or any other media which are used with electronically controlled equipment.
 

18."Suit" means a civil proceeding in which damages because of "bodily injury", "property damage" or "personal and advertising injury" to which this insurance applies are alleged. "Suit" includes:
a.An arbitration proceeding in which such damages are claimed and to which the insured must submit or does submit with our consent; or
b.Any other alternative dispute resolution proceeding in which such damages are claimed and to which the insured submits with our consent.
 

19."Temporary worker" means a person who is furnished to you to substitute for a permanent "employee" on leave or to meet seasonal or short-term workload conditions.
 

20."Volunteer worker" means a person who is not your "employee", and who donates his or her work and acts at the direction of and within the scope of duties determined by you, and is not paid a fee, salary or other compensation by you or anyone else for their work performed for you.
 

21."Your product":
a.Means:
(1)Any goods or products, other than real property, manufactured, sold, handled, distributed or disposed of by:
(a)You;
(b)Others trading under your name; or
(c)A person or organization whose business or assets you have acquired; and
(2)Containers (other than vehicles), materials, parts or equipment furnished in connection with such goods or products.
b.Includes
(1)Warranties or representations made at any time with respect to the fitness, quality, durability, performance or use of "your product"; and
(2)The providing of or failure to provide warnings or instructions.
c.Does not include vending machines or other property rented to or located for the use of others but not sold.
 

22."Your work":
a.Means:
(1)Work or operations performed by you or on your behalf; and
(2)Materials, parts or equipment furnished in connection with such work or operations.
b.Includes
(1)Warranties or representations made at any time with respect to the fitness, quality, durability, performance or use of "your work", and
(2)The providing of or failure to provide warnings or instructions.


Common Policy Conditions
All Coverage Parts included in this policy are subject to the following conditions:

A.Cancellation
1.The first Named Insured shown in the Declarations may cancel this policy by mailing or delivering to us advance written notice of cancellation.

2.We may cancel this policy by mailing or delivering to the first Named Insured written notice of cancellation at least:
a.15 days before the effective date of cancellation if we cancel for nonpayment of premium; or
b.30 days before the effective date of cancellation if we cancel for any other reason.
 

3.We will mail or deliver our notice to the first Named Insured’s last mailing address known to us.
 

4.Notice of cancellation will state the effective date of cancellation. The policy period will end on that date.
 

5.If this policy is cancelled, we will send the first Named Insured any premium refund due.  If we cancel, the refund will be pro rata. If the first Named Insured cancels, the refund may be less than pro rata.  The cancellation will be effective even if we have not made or offered a refund.
 

6.If notice is mailed, proof of mailing will be sufficient proof of notice.
B.Changes
This policy contains all the agreements between you and us concerning the insurance afforded. The first Named Insured shown in the Declarations is authorized to make changes in the terms of the policy with our consent.  This policy’s terms can be amended or waived only by endorsement issued by us and made a part of this policy.
 

C.Examination Of Your Books And Records
We may examine and audit your books and records as they relate to this policy at any time during the policy period and up to three years afterward.
 

D.Inspections And Surveys
1.We have the right, but are not obligated  to:
a.Make inspections and surveys at any time;
b.Give you reports on the conditions we find; and
c.Recommend changes.
2.Any inspections, surveys, reports or recommendations relate only to insurability and the premiums to be charged. We do not make safety inspections.
We do not undertake to perform the duty of any person or organization to provide for the health or safety of workers or the public. And we do not warrant that conditions:
a.Are safe or healthful; or
b.Comply with laws, regulations, codes or standards.
E.Premiums
The first Named Insured shown in the Declarations:
1.Is responsible for the payment of all premiums; and
2.Will be the payee for any return premiums we pay.
F.Transfer Of Your Rights And Duties Under This Policy
Your rights and duties under this policy may not be transferred without our written consent except in the case of death of an individual named insured.
If you die, your rights and duties will be transferred to your legal representative but only while acting within the scope of duties as your legal representative. Until your legal representative is appointed, anyone having proper temporary custody of your property will have your rights and duties but only with respect to that property.
